Terms of Service

These Terms of Service ("Terms") form a binding agreement between you (or the entity you represent) ("you", "Customer") and AdPilot AI ("AdPilot", "we", "us") and govern your access to and use of the AdPilot website, account dashboard, APIs and AI-generation services (collectively, the "Service"). By creating an account, clicking "I agree", or using the Service, you accept these Terms.

1. Eligibility

You must be at least 18 years old and competent to enter into a contract under the Indian Contract Act, 1872, or the equivalent law of your jurisdiction. If you are using the Service on behalf of an organization, you represent that you have authority to bind it, in which case "you" includes that organization.

2. Accounts

  • You must provide accurate registration information and keep it up to date.
  • You are responsible for all activity that occurs under your account.
  • You must keep your credentials confidential and notify us promptly of unauthorized use.
  • We may suspend or terminate accounts that violate these Terms or any linked policy.

3. Subscriptions and billing

Paid plan pricing is shown on our pricing page or in your order form at the time of purchase and renews automatically each billing cycle unless cancelled. Billing details, taxes, invoices and currency are governed by our Billing Policy. Refunds and cancellations are governed by our Refund & Cancellation Policy.

4. Credits and usage

Each plan includes a monthly allowance of generation credits. Credits are consumed when AI generations succeed and may be refunded automatically if a generation fails due to a provider error. Credits do not have monetary value, are not transferable, and unused credits expire at the end of each billing cycle unless we expressly state otherwise.

5. The Service and AI outputs

The Service uses third-party foundation models (currently provided by Google Gemini) to generate marketing copy, images, headlines and related artifacts from inputs you supply. AI outputs are probabilistic and may be inaccurate, incomplete, or unsuitable for your purpose. You are solely responsible for reviewing and approving outputs before publishing them. 6. Your responsibilities

  • Provide only inputs you have the right to use, including images, brand assets and prompts.
  • Obtain all necessary consents from individuals depicted in any uploaded photographs.
  • Comply with all applicable laws when using the Service and the outputs.
  • Review every AI output before publishing it on any advertising channel.
  • Comply with the platform policies of Meta, Google, or any third-party channel where you publish outputs.

7. Acceptable use

Your use of the Service is subject to our Acceptable Use Policy. We reserve the right to suspend or terminate access for violations, and to remove content that we reasonably believe violates these Terms or applicable law.

8. Intellectual property

8.1 Our IP

The Service, including its software, design, brand, documentation and underlying models (other than third-party model weights), is owned by AdPilot or its licensors and is protected by copyright, trademark and other laws. We grant you a limited, non-exclusive, non-transferable, revocable right to use the Service during your active subscription, solely in accordance with these Terms.

8.2 Your content

You retain all rights in the inputs you upload ("Customer Content"). You grant AdPilot a worldwide, non-exclusive, royalty-free licence to host, process, transmit, display and otherwise use Customer Content solely to operate and improve the Service for you, and to comply with law. You represent that you have all necessary rights and consents to grant this licence.

8.3 Generated content

Subject to your compliance with these Terms and timely payment of fees, AdPilot assigns to you, to the maximum extent permitted by applicable law, all rights it may have in the outputs generated for you by the Service ("Generated Content"). Generated Content may not be unique; similar or identical outputs may be produced for other customers from similar inputs. You are responsible for clearing third-party rights (including trademarks and publicity rights) before commercial use. See our Copyright Policy.

9. Feedback

If you provide feedback or suggestions, you grant us a perpetual, irrevocable, royalty-free licence to use them for any purpose without obligation to you.

10. Confidentiality and data protection

Each party will protect the other party's confidential information with reasonable care. Our processing of personal data is governed by our Privacy Policy.

11. Disclaimers

TO THE FULLEST EXTENT PERMITTED BY LAW, THE SERVICE AND ALL OUTPUTS ARE PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, OR UNINTERRUPTED OPERATION. WE DO NOT WARRANT THAT AI-GENERATED OUTPUTS ARE ACCURATE, COMPLETE, ORIGINAL, NON-INFRINGING, OR SUITABLE FOR ANY PARTICULAR USE.

12. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUES, GOODWILL OR DATA, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR THE SERVICE. OUR AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE TOTAL FEES PAID BY YOU TO ADPILOT IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

Some jurisdictions do not allow certain limitations of liability; in such jurisdictions our liability is limited to the maximum extent permitted.

13. Indemnity

You will defend, indemnify, and hold harmless AdPilot and its officers, employees and agents from and against any third-party claim, loss, liability, damage, cost or expense (including reasonable legal fees) arising out of or related to (a) your Customer Content, (b) your use of Generated Content, (c) your violation of these Terms or any linked policy, or (d) your violation of any law or third-party right.

14. Suspension

We may suspend or restrict access to the Service immediately if we reasonably believe that (a) your account or use poses a security, legal, or operational risk; (b) you have violated these Terms, the Acceptable Use Policy, or applicable law; or (c) payment is overdue. Where practicable, we will give you notice and an opportunity to remediate.

15. Termination

You may cancel your subscription at any time from your billing settings; cancellation takes effect at the end of the current billing cycle. We may terminate or refuse to renew the Service for any reason on prior notice, and immediately for cause (including material breach of these Terms). Upon termination, your right to use the Service ends. Provisions that by their nature should survive termination (including IP, disclaimers, liability, indemnity, and governing law) will survive.

16. Modifications

We may modify the Service or these Terms from time to time. Material changes to these Terms will be notified to you by email or in-app at least 14 days before they take effect, unless a change is required immediately for legal or security reasons. Continued use after the effective date constitutes acceptance.

17. Force majeure

Neither party will be liable for any failure or delay in performance (other than payment obligations) caused by events beyond its reasonable control, including acts of God, war, terrorism, riots, government action, pandemics, internet or telecommunications failures, and failures of upstream cloud or AI providers.

18. Governing law and jurisdiction

These Terms are governed by the laws of India, without regard to its conflict-of-laws rules. Subject to clause 19, the courts at Bengaluru, Karnataka, India will have exclusive jurisdiction over disputes arising out of or related to these Terms.

19. Dispute resolution

The parties will first attempt in good faith to resolve any dispute through informal negotiation by escalation to senior representatives. If not resolved within thirty (30) days, the dispute will be referred to arbitration by a sole arbitrator under the Arbitration and Conciliation Act, 1996. The seat and venue of arbitration shall be Bengaluru, and the language English.

20. Notices

Notices to AdPilot must be sent to legal@adpilot.ai. Notices to you may be sent to the email address associated with your account.

21. Entire agreement; assignment; severability

These Terms, together with the policies referenced in them, constitute the entire agreement between the parties regarding the Service and supersede all prior agreements. You may not assign these Terms without our prior written consent; we may assign them to an affiliate or in connection with a merger, acquisition, or sale of assets. If any provision is held unenforceable, the remaining provisions will continue in full force and effect.
